Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the website and services provided by Mickemedia Designs, a trade name of MICKEMEDIA LLC (“we,” “us,” or “our”). By using our website or engaging our services, you agree to be bound by these Terms.
2. Services
Mickemedia Designs provides design and technology consultancy services, including but not limited to digital product strategy, UI/UX design, visual identity, branding, and web development. All services are subject to a separate written agreement or statement of work outlining the scope, timeline, and fees.
3. Intellectual Property
Unless otherwise agreed in writing, all deliverables created by Mickemedia Designs remain the property of MICKEMEDIA LLC until full payment has been received. Upon full payment, ownership of final deliverables transfers to the client, except for underlying tools, methodologies, and reusable components which remain our property.
4. Payment Terms
Payment terms are outlined in each project agreement. Invoices are due within 15 days unless otherwise specified. Late payments may incur interest at the maximum rate permitted by Kentucky law. Work may be paused for accounts with outstanding balances exceeding 30 days.
5. Confidentiality
Both parties agree to keep confidential all proprietary information disclosed during the course of engagement. This obligation survives termination of the working relationship for a period of three (3) years.
6. Limitation of Liability
To the fullest extent permitted by law, MICKEMEDIA LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services or website. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
7. Termination
Either party may terminate a project engagement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Deposits and retainers are non-refundable.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Fayette County, Kentucky.
9. Changes to Terms
We may update these Terms from time to time. The latest version will be posted on this page with the effective date. Continued use of our services or website after changes constitutes acceptance of the updated Terms.
